Ugro Capital has allotted 5,000 unsecured, subordinated, listed, taxable, redeemable Non-Convertible Debentures (NCDs) with a face value of ₹1 lakh each, aggregating to ₹50 crore, via private placement. The NCDs carry a coupon rate of 11.65% per annum, payable monthly, and have a tenure of 66 months, maturing on 25 March 2031. The NCDs are proposed to be listed on BSE and are being raised as Tier-II capital to strengthen the company's capital adequacy as an NBFC under RBI's Scale-Based Regulations. The allotment was approved by the Investment and Borrowing Committee of the Board on 25 September 2025.
This ₹50 crore Tier-II capital raise improves Ugro Capital's capital adequacy ratio, supporting its lending growth as an NBFC. The 11.65% coupon is a relatively high cost of borrowing, which may put some pressure on margins, but the long 5.5-year tenor provides stable long-term funding.
