UltraTech Cement is seeking shareholder approval via postal ballot for material related party transactions (RPTs) with its subsidiary The India Cements Limited (ICEM) for FY 2026-27. The total approved limit is Rs. 9,820 crore, which exceeds the materiality threshold of Rs. 4,184.59 crore (2.5% of annual consolidated turnover above Rs. 40,000 crore plus Rs. 3,000 crore). Key transactions include purchase of goods/services worth Rs. 6,000 crore, sale of goods/services worth Rs. 2,150 crore, inter-corporate deposits up to Rs. 1,000 crore, corporate guarantees up to Rs. 500 crore, and personnel sharing of Rs. 40 crore. The transactions are on an arm's length basis and in the ordinary course of business. An independent external review confirmed pricing adheres to arm's length principles. ICEM's FY 2025-26 standalone turnover was Rs. 4,454.42 crore with a profit after tax of Rs. 65.31 crore.
The resolution, if approved by shareholders, will allow UltraTech to continue and expand transactions with ICEM up to Rs. 9,820 crore, representing 11.24% of UltraTech's annual consolidated turnover. This is a standard regulatory compliance filing and does not indicate any financial distress or concern.
