Uni Abex Alloy Products Limited has disclosed a SEBI order dated May 18, 2026, granting exemption to the Neterwala Family Trust from open-offer requirements under SAST Regulations. The exemption allows Mr. Feroze D. Neterwala to transfer 96.09% of his holding in Chemicals and Ferro Alloys Private Limited (CFA) to the family trust. This transfer will indirectly bring CFA's 21.85% stake in Uni Abex under the trust's control, along with Unitel Finance (41.39%) and S.D.N. Company (0.24%), totaling 63.48% indirect control. The company clarified there will be no change in control or management, no change in aggregate promoter shareholding (remains 63.63%), and no change in public shareholding (36.37%). SEBI recognized this as an internal family succession-planning transaction that does not prejudice public shareholders. The exemption is valid for one year.
This is a routine family reorganisation with no impact on minority shareholders or stock fundamentals. No open offer is required as SEBI granted exemption acknowledging this is an internal restructuring within the promoter family with no change in actual control or public shareholding.
