Board approved a preferential issue of up to 35 lakh fully convertible warrants to promoters Pradeep and Rajashri Khandagale at Rs 82 per warrant (Rs 72 premium), raising up to Rs 28.7 crore. Promoter holding will rise from 67.45 percent to 70.34 percent after conversion. Warrants are convertible into equity within 18 months. Board also approved raising the borrowing limit from Rs 100 crore to Rs 300 crore, subject to shareholder approval. EGM scheduled for January 20, 2026.
Promoter-led capital infusion signals confidence; expanded borrowing capacity supports growth, but higher debt and promoter stake rise may concern minority holders.
