Vardhman Polytex has allotted 65,00,000 equity shares of Re.1 each at Rs.12.55 per share (including Rs.11.55 premium) to Oswal Holding Private Limited, a promoter group entity. This follows the conversion of an equal number of convertible warrants originally issued on a preferential basis on March 27, 2025, when 7,24,50,000 warrants were allotted in total. The company has received Rs.6.11 crore as the balance 75% of the issue price from the allottee. After this allotment, the company's paid-up equity capital stands at Rs.46.54 crore, comprising 46,53,94,004 shares. Notably, 4,30,25,000 warrants remain pending for conversion, meaning further share issuance is expected.
This is a promoter-led equity infusion rather than external dilution, but the share count has expanded. Existing shareholders should note that over 4.3 crore more warrants can still convert into shares, which will further dilute equity and increase supply. The move signals promoter commitment and strengthens the company's capital base.
