Varroc Engineering reported standalone revenue of Rs 81,455 million for FY2026, up 10.5% YoY from Rs 73,686 million. Net profit after tax stood at Rs 2,882 million vs Rs 2,759 million (4.5% growth). The auditors issued a qualified opinion due to Rs 209.89 million in revenue from a former joint venture now under arbitration with TYC Parties over alleged breach of a Transition Management Agreement. Additionally, an arbitration from OPmobility claims US$ 66.41 million for alleged breaches under a Securities Purchase Agreement. The company recorded exceptional items totaling Rs 871 million including Rs 663 million for a Voluntary Separation Scheme and Rs 218 million for new labour code implementation. The board recommended a dividend of Rs 1.50 per share and seeks shareholder approval to raise NCDs up to Rs 500 crore and increase total borrowing limit to Rs 3,000 crore.
The qualified opinion on revenue recognition raises uncertainty around Rs 209.89 million in income from the TYC arbitration. While PAT grew modestly, ongoing legal disputes (OPmobility US$ 66.41 million claim) and the company's plan to increase debt by Rs 3,000 crore warrant close monitoring.
