Varroc Engineering reported FY2025-26 standalone revenue of Rs. 81,578.90 million (up 10.5% YoY) and net profit of Rs. 2,881.93 million (up 4.5% YoY). The auditors issued a qualified opinion due to an ongoing arbitration with TYC Brothers and Beste Motor Co. regarding Rs. 209.89 million in revenue recognized from the erstwhile Chongqing Varroc TYC Auto Lamps joint venture. The company also faces a separate US$ 66.41 million arbitration claim from OPmobility Lighting Holding for alleged breaches under a Securities Purchase Agreement. GST appellate orders have also been highlighted as emphasis of matter. The Board recommended a dividend of Rs. 1.50 per share (150%) and approved raising up to Rs. 500 crore via NCDs and increasing borrowing limits to Rs. 3,000 crore.
The qualified audit opinion and pending arbitrations create uncertainty around the company's financial position. While revenue and profits grew modestly, the TYC dispute could impact earnings if resolved unfavorably. Shareholders should monitor the AGM resolutions for the NCD issuance and expanded borrowing limits.
