Varroc Engineering reported strong Q1 FY26 results with standalone revenue of Rs. 1,843 crore (up ~8.7% YoY) and standalone profit after tax of Rs. 86.6 crore (up ~92% YoY), with EPS of Rs. 5.67 vs Rs. 2.95 in Q1 FY25. On a consolidated basis, revenue grew to Rs. 2,018 crore and PAT surged to Rs. 107.4 crore from Rs. 34.1 crore, boosted by a Rs. 61.2 crore exceptional gain from the disposal of its China JV (VTYC). However, auditors issued a qualified review report flagging Rs. 20.99 crore of revenue from an overseas party under a settlement dispute, and drew attention to a fresh arbitration notice from OPmobility (France) seeking US$ 66.41 million plus legal costs. Two pending GST orders expose the company to potential penalties and interest of around Rs. 1.5 billion, currently under appeal.
Headline numbers look strong with sharp PAT expansion and margin improvement, but investors should note the auditor qualification, the ~US$ 66 million OPmobility arbitration exposure, and large GST contingent liabilities, which together create meaningful downside risk to the otherwise positive earnings trajectory.
