Varroc Engineering has informed the exchanges that Beste Motor Co. Ltd. has filed a Commercial Arbitration Petition before the Bombay High Court to enforce and execute a Final Award dated April 21, 2025, which was passed by an ICC Singapore Arbitral Tribunal. The underlying dispute relates to breaches of a shareholders' agreement involving their Chinese joint venture companies (Varroc TYC Auto Lamps in Changzhou and Chongqing). As a result of the award, Varroc's wholly owned subsidiary VarrocCorp Holding B.V. has already transferred its 50% shareholding in Varroc TYC Corporation to Beste Motor for RMB 310.5 million (less withholding tax), which has been received.
