Varroc Engineering and its Dutch subsidiary VarrocCorp Holding B.V. have received an arbitration notice from the ICC International Court of Arbitration in The Hague. French company OPmobility Lighting Holding has filed a claim alleging breaches of covenants under a Securities Purchase Agreement signed in April 2022 (and amended three times). OPmobility is seeking damages of US$ 66.4 million plus legal costs. Varroc says it will contest the claims and is evaluating legal remedies, noting the financial impact is currently unquantifiable. The company's Romanian subsidiary also has a separate outstanding claim against OPmobility filed in France.
The $66.4 million claim (roughly ₹550+ crore) is significant relative to Varroc's size and could weigh on the stock in the short term. However, since the matter is at an early stage and the company intends to fight it, the actual financial hit remains uncertain pending arbitration outcome.
