Vedanta Resources disclosed encumbrance on 56.38 percent of total VISL shares (99.99 percent of promoter stake) linked to USD 1.75 billion of bonds issued by Vedanta Resources Finance II PLC in June 2026. Bonds are USD 500M at 7 percent due 2032, USD 700M at 7.375 percent due 2034, and USD 550M at 7.750 percent due 2037. Credit ratings are Ba3 (Moodys), BB (Fitch), and BB-minus (S&P). GLAS Agency Hong Kong is the security trustee. Proceeds will repay existing bonds and service debts. No physical pledge created yet, but trust deed covenants qualify as encumbrance under takeover rules.
Encumbrance covers nearly all promoter shares. Junk-grade ratings Ba3/BB/BB-minus indicate refinancing pressure on the promoter group going forward.
