Axis Trustee Services Ltd, acting for the lenders' agent (Madison Pacific Trust), has informed the stock exchanges that the encumbrance (charge) previously created over Vedanta shares has been fully released. The original charge was created on February 7, 2024 under a Facilities Agreement, where Finsider International Company Ltd (a promoter-group entity) had pledged 100% of its wholly-owned subsidiary VHMLII, which in turn held 2,20,47,24,753 Vedanta shares, equal to 56.38% of Vedanta's total share capital. The release was effected on February 03, 2026, after Vedanta's related entities repaid the underlying loan facility. The encumbrance was indirect, meaning the shares themselves were not directly pledged, but the holding company that owns them was pledged.
Positive for Vedanta shareholders: the earlier pledge/encumbrance risk on roughly 56% of the company's shares (held indirectly via promoter entities) has been removed after loan repayment, reducing forced-selling risk and improving promoter-group financial flexibility.
