On the reaction day the stock moved 2.2 pts less than Nifty Microcap 250 and 1.5 pts less than its Hotels & Resorts peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

NCLT Mumbai issued a procedural order on September 23, 2026 for amalgamation of three wholly-owned subsidiaries (Eon-Hinjewadi Infrastructure, Restocraft Hospitality, and Wellcraft Infraprojects) into Ventive Hospitality. Appointed date is April 1, 2025. Since the subsidiaries are wholly-owned, no new shares will be issued and there is no change in shareholding pattern. The order directs convening meetings of equity shareholders and unsecured creditors within 60 days. Post-amalgamation net worth of Ventive will be about Rs 6,809.68 crores. Final NCLT sanction and shareholder/creditor approval still pending.
Procedural step only, not final approval. No share dilution since subsidiaries are wholly-owned. Shareholders and creditors will vote on the scheme.
