VTL Q1 FY27 standalone revenue fell 21% YoY to Rs 71,577 lakhs (from Rs 90,161 lakhs). However, PAT rose 34% to Rs 2,810 lakhs; EPS at Rs 23.71 versus Rs 17.64. Consolidated PAT grew 23% to Rs 7,567 lakhs. Board approved merger with Birla Cable Ltd (swap ratio 10 VTL shares for every 115 Birla Cable shares, effective 1 April 2026), pending NCLT approval. Consolidated results retrospectively restated to include three wholly-owned subsidiaries; auditors flagged this as Emphasis of Matter.
Revenue dip offset by margin expansion and PAT growth. Merger with Birla Cable will expand scale; restatement noted by auditors.
