V-Mart Retail promoter Madan Gopal Agarwal has submitted clarifications regarding two related disclosures made on June 27, 2025. A Partition Deed among HUF members and a Gift Deed between Mr. Lalit Agarwal and Mr. Madan Gopal Agarwal were executed for the transfer of 13,908 equity shares and 1,97,33,161 Compulsorily Convertible Debentures (CCDs) of CBSPL (the parent/acquirer entity of V-Mart). The 13,908 equity shares have been successfully transferred, but the CCDs remain pending due to a technical issue with the ISIN at the Registrar and Transfer Agent. The CCD transfer is expected to be completed in about 15 days once the new ISIN process is concluded. This is an internal restructuring within the promoter family of CBSPL, the entity that controls V-Mart Retail.
This is an internal family-level reshuffle of holdings in CBSPL (the parent entity), not a change in the overall promoter group's stake in V-Mart Retail. Shareholders are unlikely to see any meaningful impact on stock price or ownership structure, as the controlling interest in V-Mart remains unchanged within the Agarwal family.
