W.S. Industries has allotted 99,43,125 equity shares at ₹100 per share (face value ₹10, premium ₹90), raising about ₹99.43 crore. The shares were issued to two Foreign Portfolio Investors — M7 Global Fund PCC – Cell Dewcap Fund (~49.43 lakh shares) and Vikasa India EIF I Fund (50 lakh shares). Additionally, 50 lakh convertible warrants were allotted to Vikasa India EIF I Fund at ₹100 each (₹50 crore), with 25% upfront and the balance due on conversion within 18 months. M7 Global partially subscribed — 45,56,875 shares offered to it lapsed. The allotments followed shareholder approval on December 12, 2025, and in-principle exchange approvals on December 18, 2025. Total potential capital infusion is around ₹149 crore.
The company is raising fresh equity capital from reputed foreign investors, which will strengthen its balance sheet and dilute existing shareholders. The steep premium of ₹90 per share signals strong investor confidence, but shareholders should note equity dilution and the potential of further shares from warrant conversion within 18 months.
