Waaree promoter Doshi gifts 44.14 percent stake to family trust; SEBI exempts open offer

Waaree Energies promoter Chimanlal Tribhuvandas Doshi transferred 12.70 crore shares (44.14 percent) to C.T. Doshi Family Trust as a gift on July 16, 2026, off-market with no payment. His personal holding fell from 45.78 percent to 1.63 percent. The trust, an irrevocable private family trust set up for succession planning, also indirectly acquired about 100 percent of Waaree Sustainable Finance (which holds 18.34 percent of Waaree). SEBI exempted the deal from open offer rules since it is an inter se promoter group transfer; total promoter holding stays at 64.22 percent and public at 35.78 percent.
