NFCL informed that its existing promoter Amlika Mercantile Private Limited has sold its entire 45.44% stake (27,17,72,140 shares) to Agri Vestors Private Limited through a Share Purchase Agreement dated March 28, 2025. The transaction was executed in two parts: 25.99% via a block deal on NSE at Rs. 4.31 per share, and the remaining 19.46% through the SPA at the same price. The acquirer Agri Vestors is 99% owned by Mr. K Rahul Raju, who is also the ultimate beneficiary of NFCL. The deal is fully completed with consideration paid in full, and there is no change in ultimate control of the company.
This is an internal restructuring of promoter holdings — both Amlika and Agri Vestors are controlled by the same ultimate beneficiary, Mr. K Rahul Raju. Minority shareholders and stock price are unlikely to be materially impacted, as the total promoter shareholding and ultimate management control remain unchanged.
