Amlika Mercantile Private Limited (AMPL), a promoter entity of Nagarjuna Fertilizers and Chemicals Ltd, sold 27,17,72,140 shares (45.44% of paid-up capital) to Agri Vestors Private Limited on March 28, 2025. The shares were sold at Rs. 4.31 per share — 15,54,12,063 shares via a block deal on NSE and the remaining 11,63,60,077 shares through a Share Purchase Agreement. After the deal, AMPL holds 0% while Agri Vestors holds 45.44%. Importantly, this is an inter-se transfer among promoter-group entities, as Mr. K Rahul Raju, the ultimate beneficial owner of NFCL, also owns 99% of Agri Vestors. Total promoter shareholding in NFCL remains unchanged — only the holding entity within the promoter group has changed.
This is purely an internal reshuffle within the promoter group and does not change the ultimate ownership or control of the company.
