Welspun Living's Board approved Q4 and FY26 audited results, announcing a Rs. 252 crore share buyback at Rs. 175 per share (record date May 22, 2026) representing 1.5% of paid-up capital. FY26 revenue fell 11.5% to Rs. 9,468 crore due to US tariff disruptions, West Asia conflict, and weak global demand; EBITDA declined 40.6% to Rs. 862 crore with margin compressing to 9.1% from 13.6% YoY. PAT dropped 68% to Rs. 204 crore. However, Q4 showed recovery with 7.7% sequential revenue growth and 10.8% EBITDA margin. Net debt was sharply reduced by 52% to Rs. 775 crore. The Board also recommended a 10% dividend (Rs. 0.10 per share) with record date July 10, 2026. A 26% stake in CleanMax Dhyuthi Private Limited (renewable energy) is being acquired for Rs. 7.6 crore from promoter group Welspun Corp Limited (related party, arms-length). CEO Mr. Altaf Jiwani resigns effective May 31, replaced by Mr. Keyur Parekh as Whole-time Director from June 1, 2026.
The buyback at Rs. 175 per share offers a 19.5% premium over the face value, providing direct value to selling shareholders. While FY26 profits fell sharply due to global headwinds, sequential Q4 recovery and a 52% reduction in net debt signal improving fundamentals. The related party acquisition and management change introduce minor near-term uncertainty but support the company's renewable energy strategy.
