The board approved amendments to the Articles of Association, subject to shareholder approval by special resolution. Article 130 was broadened so that any shareholder, not just financial institutions, can nominate directors under a written agreement. A new Article 130A gives 1 Ariel Way Tenant Limited (called GlobalCo) the right to nominate one Non-Executive Director to the Board for as long as it holds at least 10 percent of paid-up equity share capital. GlobalCo can also remove or replace that director. The right ends automatically if its stake falls below 10 percent.
Formalises board seat rights for a major shareholder at the 10 percent threshold. No change to shareholding or financials, but adds governance clarity for investors.
