The Hon'ble NCLT Ahmedabad Bench has sanctioned a Composite Scheme of Arrangement involving Wim Plast Limited (listed on BSE), Cello Consumer Products Private Limited, and Cello World Limited (listed on BSE and NSE). The scheme involves: (1) demerger of Wim Plast's demerged undertaking into Cello Consumer Products on a going concern basis, and (2) amalgamation of remaining Wim Plast business into Cello World. Cello World will issue equity shares to Wim Plast shareholders (excluding shares held by Cello World). The appointed date is April 1, 2025. The scheme aims to achieve operational synergies, consolidate two listed entities into one, and streamline legal and regulatory compliance. The order was pronounced on May 14, 2026. No objections were raised by BSE, NSE, or Income Tax Department.
This consolidation is positive for shareholders as it simplifies the corporate structure and creates operational efficiencies. Wim Plast shareholders will receive Cello World shares as consideration. The scheme is binding on all companies, shareholders, and creditors. However, Cello World continues to face an ongoing MCA inquiry regarding alleged misstatements in its IPO documents.
