Wipro Limited has announced a postal ballot seeking shareholder approval for three items: (1) re-appointment of Ms. Tulsi Naidu as Independent Director for a second term of 5 years from July 1, 2026, (2) appointment of Ms. Laura Marie Miller as Independent Director for 5 years from April 1, 2026, and (3) a buyback of up to 60 crore (600 million) fully paid-up equity shares of face value ₹2 each at a price of ₹250 per share. The buyback aggregate amount is ₹15,000 crore (approximately 24.99% of standalone and 19.99% of consolidated free reserves as per audited financials for year ended March 31, 2026). The buyback will be through the tender offer route on a proportionate basis. The e-voting period runs from April 22, 2026 to May 21, 2026, with results expected by May 25, 2026.
The ₹15,000 crore buyback represents a significant capital return to shareholders and is expected to support stock price, as the buyback price of ₹250 per share is likely above current market levels. The two board appointments strengthen governance.
