Three members of the promoter group of Yug Decor Ltd — Mrs. Abha Saraswat, Miss. Pooja Saraswat, and Mr. Sanjeev Saraswat — have renounced/sold nearly all their Rights Entitlements (REs) under the company's ongoing Rights Issue (per Letter of Offer dated December 20, 2025). Out of 923,095 REs offered to them in total, they renounced 911,100 REs (about 98.7%) to public shareholders via the market between January 5 and January 6, 2026. The company clarified that this renunciation was done to comply with minimum public shareholding requirements under Rule 19A of the SCRR, 1957, and that promoter holding remains compliant post-renunciation.
Promoters have effectively opted out of subscribing to their allotted portion of the Rights Issue, meaning their relative shareholding will not increase and could marginally dilute, while public shareholders will pick up the bulk of the new issue. This signals promoters' reluctance to put additional capital into the company and indicates the issue was structured mainly to maintain the 25% minimum public shareholding threshold rather than for fresh capital expansion.
