ZF Steering Gear India conducted a Postal Ballot from November 1-30, 2025 to seek shareholders' approval for reclassifying three individuals - Mrs. Amita Jinendra Munot, Mr. Piyush Jinendra Munot, and Mr. Yash Munot - from the 'Promoter & Promoter Group' category to 'Public Shareholder' category. The resolution was approved with overwhelming majority, receiving 99.97% votes in favour (50,48,215 shares) and only 0.03% votes against (1,317 shares). All 5 promoter group members who voted unanimously supported the move. The three reclassified individuals together hold 3,75,800 shares, representing about 4.14% of the company's paid-up equity. Out of 9,919 total shareholders on the record date, 57 participated in the voting.
This is a routine procedural reclassification and should not materially affect control since the remaining promoter group will continue to hold around 62-63% of the company. Minor shareholder base reshuffling with negligible impact on stock price or retail shareholders.
