Zee Entertainment's board approved its unaudited standalone and consolidated financial results for Q1 FY26 (quarter ended June 30, 2025). Standalone revenue from operations fell to ₹16,839 million from ₹20,007 million a year ago, a drop of nearly 16%, though standalone profit was broadly flat at ₹1,115 million vs ₹1,125 million. On a consolidated basis, revenue declined to ₹18,498 million from ₹21,495 million (~14% lower), but profit rose to ₹1,437 million from ₹1,181 million, helped by lower exceptional charges. The 43rd AGM has been scheduled for September 15, 2025, via video conference. The auditor (Walker Chandiok & Co LLP) gave an unmodified review conclusion but highlighted ongoing SEBI investigation and the Star India (now JioStar) arbitration as matters of emphasis. Notably, the company's settlement application with SEBI has been rejected, and JioStar has increased its arbitration claim against Zee to USD 1,003 million (from USD 940 million) over the disputed ICC broadcasting rights deal. Two new subsidiaries, Ibuliet Enterprises and Advance Media Distribution, were incorporated in June 2025.
Mixed signals for shareholders: a sharp YoY revenue decline is concerning, but profit held up and improved on a consolidated basis. More material risks are the rejected SEBI settlement and the escalating USD 1 billion+ arbitration claim, which could weigh on the stock. The November 2025 arbitration hearings and SEBI proceedings remain key watchpoints.
