Zee Media Corporation has reported a violation of SEBI's Insider Trading Regulations by one of its designated persons, Mr. Prem Prakash, Assistant Manager – Finance and Accounts at its wholly owned subsidiary Indiadotcom Digital Private Limited. Mr. Prem Prakash engaged in contra trading — he bought 10 shares of Zee Media on September 17, 2025 at Rs. 124.70 per share and sold the same quantity on December 19, 2025 at Rs. 94.30 per share, incurring a loss of roughly Rs. 304. The company's Disciplinary Committee reviewed the case and concluded it was a first-time violation, made without possession of any Unpublished Price Sensitive Information (UPSI). As a result, the company levied a penalty of Rs. 5,000 on the employee and issued a warning letter. The penalty amount was paid via UPI on February 4, 2026 and transferred to the SEBI-IEPF account.
This is a minor, technical compliance violation rather than a case of actual insider trading on price-sensitive information — the employee himself traded at a loss. The penalty imposed is small (Rs. 5,000) and the company appears to be following proper disclosure norms by reporting the matter to stock exchanges. Unlikely to have any meaningful negative impact on the stock price or shareholder value.
