Demerger

A demerger is the separation of a business division into an independent company, with existing shareholders receiving shares of the new entity in a fixed entitlement ratio (for example, 1 share of the demerged company for every 1 share held). It is the standard 'value unlocking' move for conglomerates.

In India a demerger runs through a scheme of arrangement approved by the NCLT, with shareholder and creditor approvals along the way — announcement to listing commonly takes many months. On the record date, shares of the resulting company are credited per the entitlement ratio; the new company then lists separately, with a special pre-open price-discovery session on listing day.

The investment logic is focus and re-rating: a fast-growing division buried inside a slow parent may command a better multiple standing alone, and management incentives sharpen. The parent's share price adjusts downward around the record date to reflect the value that moved to the new entity — your combined holding, not the parent's chart, is what to track.

Practical points: your cost basis is apportioned between the two companies per a ratio the company publishes (relevant for capital gains), and index funds may be forced sellers of the new entity if it doesn't qualify for the index — early listing-day prices can be noisy for that reason.

How stocks tend to react

Demerger announcements are often taken positively when the market sees a genuinely undervalued division being set free, and sum-of-parts re-rating can play out over months. The parent's price fall at the record date is mechanical, not a sell-off. Listing-day prices of the new entity are frequently volatile as forced sellers and value hunters find equilibrium.
