ESOP Allotment

An ESOP allotment is the issue of new shares to employees who have exercised their stock options (ESOPs) or restricted stock units (RSUs), which the company then reports to the exchanges along with its updated share capital.

Employee stock plans are governed by SEBI's Share Based Employee Benefits and Sweat Equity Regulations, 2021. Options vest over time and, once exercised, the company allots fresh shares, which increases the share count slightly.

Large companies file these frequently. On 14 August 2026, for example, HDFC Bank allotted 17,29,212 equity shares to employees under its stock option and RSU schemes — well under a tenth of a percent of its share capital.

The filing matters mainly in aggregate: at companies with generous stock plans, regular allotments can add up to meaningful dilution over several years.

How stocks tend to react

Individual ESOP allotments almost never move the stock. MarketPing treats them as low-importance filings.

MarketPing measures this instead of guessing: every analysed announcement carries the stock's actual price reaction across 14 horizons, and the Reaction Lab aggregates how each category of announcement has historically moved stocks.
