Delhivery Limited has amended its Share Purchase Agreement (SPA) dated April 5, 2025, for the acquisition of Ecom Express Limited. Under the revised terms, Delhivery will now acquire 99.87% of Ecom Express's issued and paid-up share capital on a fully diluted basis, slightly higher than the earlier 99.4%. The total purchase consideration has been reduced from up to INR 1,407 Crore to approximately INR 1,369 Crore, saving around INR 38 Crore. The amendment was made following commercial negotiations between the parties, and all other terms of the original SPA remain unchanged. The Competition Commission of India had already cleared the acquisition on June 17, 2025.
The amended deal is marginally more favorable for Delhivery, as it acquires a higher stake in Ecom Express at a lower consideration, suggesting better negotiated terms. The deal is progressing toward completion and could strengthen Delhivery's position in the express logistics segment.
