D & H India Limited has received a No Adverse Observation letter from BSE Limited (dated July 17, 2025) for its proposed scheme of amalgamation with V & H Infra Private Limited, a related party. Under the scheme, V & H Infra (engaged in mining, trading and export of Bentonite Powder and iron ore pelletisation) will merge into D & H India (manufacturing welding electrodes and consumables). The share swap ratio is 402 equity shares of D & H India (Rs. 10 each) for every 100 equity shares of V & H Infra, based on a registered valuer's report and fairness opinion by Navigant Corporate Advisors. Post-merger, promoter holding in D & H India will rise from 52.26% to 70.81%, while public shareholding will drop from 47.74% to 29.19%. The scheme still requires NCLT approval and consent from shareholders and creditors before becoming effective.
The BSE clearance is a key regulatory milestone, but the merger still requires NCLT and shareholder/creditor approvals. If approved, D & H India will diversify into mining-related businesses, though promoter stake will increase significantly (to over 70%), reducing public float and minority shareholder influence.
