3B BlackBio Dx Ltd, along with its UK subsidiary TRUPCR Europe Limited (TPE), has signed a definitive agreement to buy 100% of Belgium-based Coris Holding SRL (parent of Coris Bioconcept SRL) from London's Avacta Group Plc. The all-cash deal is worth £2.765 Million, split as £2.15 Million upfront plus up to £0.615 Million earn-out, with 3B acquiring 70% and TPE acquiring 30%. Coris, founded in 1996, is a leading European maker of rapid IVD test kits focused on antimicrobial resistance (AMR) diagnostics, with FY24 revenue of €5.22 Million (~58.7% gross margin) but a small negative EBITDA of €0.215 Million and net assets of €4.14 Million. The acquisition is complementary to 3B's molecular diagnostics business and gives 3B access to Coris's distribution network spanning 60+ countries. Completion is targeted by 10th September 2025, with no regulatory approvals required and no related party involvement.
