3i Infotech's Board approved closure of its Netherlands subsidiary (3i Infotech Netherlands B.V.) which has been dormant since inception due to sustained losses and no business purpose. The company also reported FY26 results: consolidated revenue of Rs 6,934 crore (down from Rs 7,258 crore in FY25), but profit before tax more than tripled to Rs 451 crore versus Rs 116 crore in FY25. Basic EPS improved to Rs 1.83 from Rs 1.44. The auditors issued an unmodified opinion on standalone results but a qualified opinion on consolidated results due to issues at certain subsidiaries including a going concern warning at Thailand operations and disputes at Middle East subsidiary. The company also announced a new step-down subsidiary in Thailand and modification to its Employee Stock Option Scheme 2023.
Closure of the dormant Netherlands subsidiary removes a loss-making entity from the group structure with minimal direct impact on operations. The improved profitability and EPS are positive signals, though the qualified audit opinion on consolidated results and ongoing legacy investigations may create some investor caution.
