AAA Technologies Limited has received a Public Announcement for a triggered open offer under SEBI (SAST) Regulations, 2011. Acquirer 1 Jyotirgamya Advisory Private Limited and Acquirer 2 Mr. Ashok Chordia (with Mr. Chordia as the ultimate beneficial owner) have signed a Share Purchase Agreement on December 29, 2025, to buy 44,10,000 equity shares (34.38% of voting capital) from four promoter sellers of the Dhoot family at Rs. 74.06 per share, totaling about Rs. 32.66 crores. Following this, they are making a mandatory open offer for up to 33,34,968 additional shares (26.00% of voting capital) from public shareholders at a price determined under SEBI rules, with a maximum cash payout of about Rs. 33.68 crores. Post-deal, the four promoter sellers will exit completely and be reclassified as public shareholders, while the Acquirers will take control and become the new promoters. The Acquirers have stated they do not intend to delist the company.
This is a change-of-control event — the existing promoter group (Dhoot family) is fully exiting and selling the company to Mr. Ashok Chordia's group. Existing public shareholders get a chance to tender their shares in the open offer window, and the stock may see short-term price movement as the open offer price becomes a reference benchmark.
