Aadhar Housing Finance has changed hands from one Blackstone-affiliated entity to another. BCP Asia II Holdco VII Pte. Ltd. (the Acquirer) bought 28,20,52,121 equity shares (about 74% stake) from BCP Topco VII Pte. Ltd. (the Seller) at ₹425 per share on February 25, 2026, completing the main transaction. Earlier, the Acquirer also picked up 7,36,706 shares through the open offer that closed in February 2026. Separately, AXDI LDII SPV 1 Ltd. bought 44,139,236 shares from the same Seller and has been classified as a public shareholder. Following these deals, the Seller and its group have ceased to be the promoter, and the Acquirer has become the new promoter and taken control of the company effective February 26, 2026. Note: both Seller and Acquirer are Blackstone entities, so this is essentially an internal reshuffle within Blackstone's funds.
For retail shareholders, control is moving within the same parent (Blackstone), so the business direction is unlikely to change meaningfully in the short term. The ₹425 per share price sets a clear reference value, and with the open offer and SPA now concluded, near-term uncertainty around the deal is largely over. Stock could see a settling effect as it transitions to the new promoter entity.
