JM Financial, acting as manager to the open offer, has submitted a Detailed Public Statement on behalf of BCP Asia II Holdco VII Pte. Ltd. (Acquirer) along with Blackstone Capital Partners (CYM) IX AIV - F L.P. and Blackstone Capital Partners Asia II L.P. (PACs), all Blackstone-backed entities. The open offer is to acquire up to 11,35,25,761 equity shares (25.82% of expanded voting share capital) from public shareholders of Aadhar Housing Finance at ₹469.97 per share, totaling about ₹5,335 crore. This follows a Share Purchase Agreement dated July 25, 2025, where the Acquirer will buy up to 64.14% (28,20,52,121 shares) from the existing promoter BCP Topco VII Pte. Ltd. (another Blackstone fund, BCP VII/BCP Asia) at up to ₹425 per share, worth up to ~₹11,987 crore. The transaction effectively transfers promoter control from one Blackstone fund (BCP VII) to another (BCP IX/BCP Asia II). Approvals from RBI, Competition Commission of India, and possibly U.S. SEC are required before completion.
This is a change-of-control transaction within Blackstone's own funds, so the core business and management direction are likely to remain similar. Public shareholders can tender shares at ₹469.97 or hold on, depending on their view of the offer price relative to market value. The offer price typically acts as a floor for the stock price during the tendering period.
