KPIT Technologies' board has approved the 100% acquisition of Caresoft's Global Engineering Solutions business, spanning four entities in the US, UK, Mexico, and Italy, with a combined revenue of about US$51 million in 2024 and over 900 employees. Total deal value is up to US$191 million, including US$25 million in variable consideration tied to revenue and synergy milestones, payable in tranches over 4 years through cash and/or equity shares (up to US$25 million in shares, subject to shareholder approval). The acquisition strengthens KPIT's vehicle engineering, truck, off-highway, and manufacturing solutions offerings, and accelerates its entry into China and the software benchmarking space. KPIT says the deal will be EPS accretive from year one and will be funded mainly through internal accruals. Shareholder approval via postal ballot will be sought within 30 days to raise investment limits under Section 186 of the Companies Act.
This is a strategically positive move for shareholders, expanding KPIT's global footprint and capabilities in commercial vehicle and off-highway segments, with management claiming EPS accretion in year one. The use of internal accruals and phased payments limits balance sheet strain, but the equity component (up to US$25 million) could lead to mild dilution if exercised.
