Adani Enterprises, through its wholly owned subsidiary Adani Defence Systems and Technologies (ADSTL) and step-down subsidiary Horizon Aero Solutions (HASL), has completed the acquisition of a 39% effective shareholding in Flight Simulation Technique Centre (FSTC) on December 30, 2025. FSTC is a subsidiary of Flight Simulation Solutions Pvt. Ltd. and operates in the aerospace/flight training sector, holding DGCA and EASA approvals. It runs 11 flight simulators and a fleet of 17 training aircraft, with audited revenue growing from INR 165 Crore in FY23 to INR 195 Crore in FY25. The deal was done at an enterprise value of INR 820 Crore in cash. The company also indicated plans to acquire the remaining 33.8% stake by January 2026, suggesting a phased full takeover.
This move marks a strategic expansion of the Adani group into the high-growth aviation training services space, complementing its defence and aerospace ambitions. The transaction is not a related-party deal, which is a positive governance signal. Phased acquisition limits upfront capital risk while positioning for full control.
