Adani Power has entered into definitive agreements to acquire certain power assets from Jaiprakash Associates Limited as part of an NCLT-approved resolution plan. The acquisitions include 24% shareholding in Jaiprakash Power Ventures Limited (JPVL), a listed entity, for INR 2,993.59 crore, and a 180 MW thermal power plant at Churk along with 11.49% stake in Prayagraj Power Generation Company Limited for INR 1,200 crore. The total acquisition cost is approximately INR 4,193.59 crore, payable in cash. JPVL operates three power plants with 2,220 MW capacity and a cement grinding unit, having posted turnover of INR 5,790.85 crore in FY2025-26. The acquisitions require completion within 90 days from the NCLT approval date of March 17, 2026.
This acquisition strengthens Adani Power's generation capacity and portfolio of power assets, aligning with its core business. The total outlay of over INR 4,100 crore represents a significant expansion through distressed asset acquisition. Completion is subject to the resolution plan becoming effective.
