CommScope, which holds 72.02% in ADC India through its affiliates, has signed a definitive agreement to sell its Connectivity and Cable Solutions (CCS) segment to Amphenol Corporation for about USD 10.5 billion in cash. ADC India Communications operates within this CCS segment that is being divested. The transaction is expected to close in the first half of 2026, subject to regulatory approvals and an affirmative vote of CommScope shareholders. CommScope expects net proceeds of around $10 billion, and plans to repay debt, redeem preferred equity held by Carlyle, and distribute excess cash as a dividend to its own shareholders within 60–90 days of closing. The Board of ADC India has noted the announcement and will examine statutory requirements.
This effectively means a change in indirect control of ADC India from CommScope to Amphenol, which could trigger an open offer obligation under SEBI Takeover Regulations. Retail investors should watch for follow-up disclosures on any mandatory open offer and the implications for ADC India's future operations and ownership.
