ADF Foods Limited has received approval from the Regional Director, North-Western Region, Ministry of Corporate Affairs, Ahmedabad for the amalgamation of its two subsidiaries - ADF Foods (India) Limited (Transferor Company) and Telluric Foods Limited (Transferee Company). The merger is being done under Section 233 of the Companies Act, 2013 via the Fast Track route, with appointed date of 1st October 2025. Telluric Foods Limited had a turnover of Rs. 5.66 crore as of 31st March 2025. Both entities are involved in trading of processed food products in the domestic market. Since the Transferor Company is a wholly-owned subsidiary of the Transferee Company, no shares will be issued and no cash consideration is involved. The Transferor Company will stand dissolved upon the scheme becoming effective.
This is an internal consolidation of subsidiaries and will not impact the shareholding pattern of ADF Foods Limited. There will be no change in the listed company's capital structure. Shareholders of ADF Foods are not directly affected as this is a restructuring between unlisted subsidiary companies.
