Advik Capital Ltd conducted a postal ballot (remote e-voting) from December 2–31, 2025, on three resolutions. Of the total 60.85 crore shares, only 41.17% were voted. Resolution 1 (increase in authorized share capital and amendment to MoA) was passed as an ordinary resolution with 61.60% votes in favour. Resolution 2 (appointment of Mr. Mukesh Kumar Puniani as Director) was also passed as an ordinary resolution with 61.58% in favour. Resolution 3 (appointment of Mr. Mukesh Kumar Puniani as Independent Director), which required a special resolution threshold (75%), fell short and was NOT approved despite getting 61.58% in favour. Promoters voted 100% in favour of all resolutions, while public non-institutional shareholders voted about 70% against all three, dragging down the overall margin.
The authorised share capital hike is cleared, giving the company room to raise funds or issue shares in the future. However, the failure of the independent director appointment is a setback — Mr. Puniani is now a non-independent director, which may raise concerns about board composition and minority shareholder protection.
