A board meeting outcome is the exchange filing a listed company makes right after its board of directors meets, stating what the board actually decided — approving quarterly results, recommending a dividend, approving a fundraise, appointing a director, and so on.

It is the second half of a pair: the board meeting intimation announces the agenda in advance, and the outcome reports the decisions. Under SEBI's LODR Regulation 30, most board decisions must reach the exchanges within 30 minutes of the meeting closing, which is why outcomes often land during or just after market hours.

When results are on the agenda, the outcome filing usually carries the financial results themselves. For example, on 18 July 2026 ICICI Bank's outcome filing reported that its board had approved the results for the quarter ended 30 June 2026, with the standalone and consolidated statements attached.

Read the whole filing, not just the first line. Outcomes often bundle several decisions — results plus a dividend plus a new director plus an enabling resolution to raise funds — and the item that matters most is not always the one in the subject line.

How stocks tend to react

The market reacts to the decisions, not to the filing type. A results outcome moves the stock on the numbers; outcomes that approve buybacks, bonus issues or large fundraises can move it on their own. Where an intimation flagged a proposal, the outcome confirms or cancels whatever the market had already priced in.
