Aegis Vopak Terminals Limited has signed a Deed of Adherence with Aegis Logistics, Aegis Gas (LPG) Pvt Ltd, Itochu Petroleum (Singapore), Hindustan Aegis LPG Ltd (HALPG), and Vopak India B.V., formalising the Share Purchase Agreement executed on 2 January 2026. Under the SPA, AGPL and Vopak are transferring a combined 9,13,449 equity shares of HALPG (6,21,146 from AGPL and 2,92,303 from Vopak) to the Company, giving Aegis Vopak Terminals a 75% stake in HALPG. The deed brings Itochu into the arrangement as an additional party, with the Company also gaining rights to appoint nominee directors on HALPG's board and first rights on future share issuances. Aegis Logistics (44.71%) and Vopak (42.23%) remain promoters of Aegis Vopak Terminals, while AGPL is part of the promoter group.
This formalises the Company's emergence as the holding entity of HALPG with a controlling 75% stake, expanding its LPG terminal/Logistics footprint. The addition of global major Itochu as a counterparty strengthens the consortium's credibility, which is a positive structural development for shareholders, though no financial details of the acquisition consideration have been disclosed in this filing.
