Agro Phos India Limited's Board has approved the acquisition of the business undertaking of Bharat Phosphates & Chemicals Private Limited for a total consideration of up to ₹3 crores, payable in cash. The acquisition will be done as a slump purchase/business transfer on a going concern basis, making the target a wholly-owned subsidiary of Agro Phos. The deal is expected to be completed in one or more tranches during FY 2025-26. The target, incorporated in 2011 and based in Indore, has reported zero turnover for the last three financial years. The acquisition aims to leverage the target's existing assets, including its SSP (Single Super Phosphate) plant, to support strategic growth in the fertiliser/phosphate segment.
For shareholders, this is a small-ticket acquisition (₹3 crores) aimed at expanding Agro Phos's phosphate/fertiliser business by adding an SSP plant. The target currently has no revenue, so near-term earnings impact is likely minimal, but the move could strengthen the company's product portfolio and manufacturing capacity in the long run.
