CRISIL Ratings, the Monitoring Agency, has submitted its report for the quarter ended June 30, 2025 on AGS Transact Technologies' preferential issue of convertible warrants. The original issue size of about Rs 200 crore was revised down to about Rs 159.36 crore due to undersubscription of warrants, of which the company has received only Rs 73.42 crore so far, leaving roughly Rs 86 crore of warrant conversion proceeds yet to come in. No amount was utilised towards any of the three stated objects (working capital, loan repayment, or general corporate purposes) during the quarter. The monitoring account holds just Rs 3.41 lakh, as the company's current account was frozen and funds could not be transferred.
This is a deeply negative report for shareholders. CRISIL flags that AGS Transact's share price has collapsed to Rs 5.28 (vs. warrant conversion price of Rs 79.25), its credit rating was downgraded to 'Default' in February 2025, and the company is facing insolvency proceedings before NCLT initiated by operational creditors. With the stock trading far below the warrant conversion price, remaining investors are unlikely to put in more money, putting the company's ability to achieve its stated objects in serious doubt. Existing shareholders face significant risk of further value erosion and potential dilution or restructuring outcomes under IBC.
