Regulation 74(5) Certificate

A Regulation 74(5) certificate is a quarterly compliance filing confirming that all requests to convert physical share certificates into electronic (demat) form — or back — were processed during the quarter and the exchanges were informed. It is issued by the company's registrar and transfer agent.

It is named after Regulation 74(5) of the SEBI (Depositories and Participants) Regulations, 2018, and is filed shortly after each quarter ends. For example, Larsen & Toubro filed one on 6 July 2026 for the quarter ended 30 June 2026, in which its registrar, KFin Technologies, confirmed the details had been furnished to the stock exchanges.

Because every listed company files one each quarter, it is one of the most numerous filings on NSE and BSE — and one of the least informative. It says nothing about the business.

How stocks tend to react
