Kalapi Vinit Nagada agreed to buy 73,39,200 AKG Exim shares, or 23.10% of voting capital, from promoter Mahima Goel for ₹954.10 lakh. This triggered a cash open offer for up to 82,62,000 shares, or 26%, at ₹15 each, worth ₹1,239.30 lakh if fully accepted. There is no minimum acceptance threshold or plan to delist.
Public shareholders can tender at ₹15. The buyer would hold 23.10% without tenders and 49.10% if the full offer is accepted, shifting control.
