AKG Exim received the Draft Letter of Offer for Kalapi Vinit Nagada's open offer of up to 82,62,000 shares, or 26%, at Rs15 each in cash. Under an October 9 agreement, he will buy 73,39,200 promoter-held shares, or 23.10%, at Rs13. If fully accepted, he will hold 49.10%, become the new promoter and gain control. The offer runs from December 4 to 17, 2025, with no minimum acceptance.
A control shift may increase volatility. Holders may tender at Rs15 per share, with proportional sharing if more than 82.62 lakh shares are tendered.
