Alkem Laboratories has completed the transfer of its trade generics business as a going concern on a slump sale basis to its wholly owned subsidiary, Alkem Wellness Limited, effective 1st October 2025. The final total sale consideration stood at Rs. 532.5 crores, with the balance payment of Rs. 32.5 crores received on 30th December 2025. This follows earlier intimation dates of 10th December 2024 and 26th September 2025 regarding the Business Transfer Agreement. The transaction is an internal group restructuring, as Alkem Wellness is a wholly owned subsidiary of the listed entity.
The transfer is intra-group (to a wholly owned subsidiary), so consolidated financials remain unaffected, but the listed entity's standalone revenue and margins from the trade generics segment will no longer be reported under Alkem Laboratories. Shareholders are unlikely to see a material stock price impact as the consideration was already largely known, but the focus of the listed entity on its core branded generics and other businesses becomes clearer.
